1 Acceptance of Terms

By accessing or using the AgileSoko website, mobile experience, or any related service (together, the "Platform"), you agree to be bound by these Terms and Conditions. If you disagree with any part of these terms, you may not access or use the Platform.

2 Eligibility

AgileSoko is Kenya's AI-powered business execution network, built for registered and operating businesses, individual high-value asset owners, independent professional service providers, and institutional customers across select high-value categories. By using the Platform, you confirm that you are at least 18 years of age and, where acting on behalf of a business, that you are authorized to bind that business to these terms.

AgileSoko's initial release focuses on select enterprise-grade categories as described on our Apply to Join page. We may expand eligible categories and applicant types over time at our discretion.

3 Applications & Verification

3.1 Application Process. Businesses, individual asset owners, and professional service providers seeking to publish listings or profiles must first submit an application and complete AgileSoko's verification process. Depending on category, risk, and transaction value, this may include document review, identity verification (KYC), official registry checks, risk assessment, physical or site verification, and independent professional due diligence, as described in our Verification Policy.

3.2 Applicant Responsibility. Applicants and verified participants are solely responsible for the accuracy, legality, and currency of the information, documents, and listings they submit, including proof of ownership and professional credentials. Verification by AgileSoko does not relieve an applicant of these obligations.

3.3 Nature of Verification. Verification indicates that a business, individual asset owner, or professional has passed the applicable AgileSoko review process at a point in time, at the verification level assigned to their category and risk profile. It is not a guarantee, warranty, or endorsement of ongoing conduct, financial standing, ownership, professional performance, or the quality of goods or services, and should not be relied upon as such.

3.4 Individual Asset Owners. Individual owners of high-value assets (such as land, property, vehicles, or other high-value assets) do not automatically receive a Business Management Dashboard. AgileSoko may create and manage their listing after strict verification, as described in the Verification Policy.

3.5 Professionals. AgileSoko facilitates access to independent qualified professionals (such as advocates, surveyors, valuers, accountants, and engineers) but does not replace their independent professional judgment, and is not itself a law firm, survey firm, valuation firm, accounting firm, or engineering firm.

3.6 Right to Refuse or Revoke. AgileSoko may refuse an application, decline to verify a participant, or suspend or revoke a verification status and any associated listings at any time, with or without notice, if we reasonably believe the participant no longer meets our standards or has violated these terms.

4 AI-Powered Search & Matching

AgileSoko uses artificial intelligence to interpret natural-language search queries, extract search criteria, rank verified listings, and display indicators such as "AI Match" scores.

You should independently verify any listing details, including price, availability, credentials, and specifications, directly with the relevant business before making decisions or commitments. AgileSoko is not liable for outcomes arising from reliance on AI-generated search results or match scores.

5 Listings & Content Accuracy

Verified businesses are responsible for keeping their listings accurate, current, and compliant with applicable law. AgileSoko reserves the right to edit, remove, or suspend any listing that appears inaccurate, misleading, expired, or in violation of these terms, without prior notice.

AgileSoko does not take ownership of, and is not a party to, any transaction between a business and a buyer, tenant, investor, or client arising from a listing on the Platform.

6 User Conduct

All users agree to use the Platform responsibly and lawfully. Prohibited activities include:

• Posting false, misleading, or fraudulent information in an application, listing, or inquiry
• Attempting to circumvent, falsify, or manipulate AgileSoko's verification process
• Harassing, threatening, or misrepresenting yourself to other users or businesses
• Using the Platform, or the AI search feature, for any unlawful purpose
• Scraping, automated data collection, or bulk extraction of listings without written permission

7 Intellectual Property

All Platform content, including text, graphics, logos, interface design, and the AgileSoko name and branding, is the property of AgileSoko or its licensors and is protected by applicable intellectual property laws. You may not copy, reproduce, or use Platform content without express written permission, except for content you own and submit as part of your own listing.

8 Payments, Fees & Escrow

Any listing fees, verification fees, commissions, or service charges applicable to a verified participant are set out in a separate agreement or disclosed at the time of onboarding. All payments must be made through approved channels. AgileSoko is not responsible for, and assumes no liability arising from, transactions conducted directly between users outside the Platform.

9 Privacy & Data Protection

Your use of AgileSoko is also governed by our Privacy Policy. We collect, store, and process personal and business data, including data submitted through AI-assisted search, business/individual/professional applications, and KYC verification, in accordance with applicable data protection laws in Kenya, including the Data Protection Act, 2019. 10 Limitation of Liability

AgileSoko operates as a discovery, matching, verification, and execution-coordination facilitator. To the maximum extent permitted by law, AgileSoko shall not be liable for any direct, indirect, incidental, special, or consequential damages, including lost profits or lost data, arising from your use of, or inability to use, the Platform, including AI-generated search results.

We do not guarantee the accuracy, completeness, or reliability of any listing, business or individual profile, professional credential, AI-generated output, or the work of any independently engaged professional on the Platform, and we are not responsible for disputes between businesses, individual asset owners, professionals, and buyers, tenants, investors, or clients.

11 Indemnification

You agree to indemnify and hold harmless AgileSoko, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of the Platform, your listings or application content, or your violation of these terms.

12 Suspension & Termination

AgileSoko reserves the right to suspend or terminate your access to the Platform, or revoke a business's verified status, at any time and without prior notice, for conduct that violates these terms or is harmful to other users, AgileSoko, or third parties.

13 Changes to These Terms

We may modify these Terms from time to time. Changes take effect immediately upon posting to this page. Your continued use of the Platform after changes are posted constitutes acceptance of the revised Terms.

14 Governing Law

These Terms are governed by and construed in accordance with the laws of Kenya, without regard to conflict of law principles. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Nairobi, Kenya.
